Associate General Counsel (Remote)
This is a rare opportunity to serve as the primary partner to the General Counsel of a growing GovTech SaaS company. As Associate General Counsel, you will help shape the next phase of our legal function. This role offers unusual breadth and will span every legal issue the company faces—commercial contracting, data privacy, employment, regulatory compliance, governance, disputes, product counseling, strategic transactions, and legal operations.
No two days will look the same. You will be embedded with business and technical leaders, helping them navigate complex legal questions in real time while strengthening and scaling the company’s legal function. This role is ideal for a lawyer who enjoys range, autonomy, and practical problem-solving in a fast-moving environment.

Key Responsibilities
Commercial contracts and SaaS transactions
- Help lead the company’s commercial contracting function, including drafting, reviewing, and negotiating a broad range of agreements, such as:
- SaaS subscription agreements and terms of service
- Professional services and implementation statements of work
- Data protection and information security addenda
- Confidentiality agreements
- Vendor, subcontractor, and consulting agreements
Risk, privacy, and AI governance
- Provide clear, practical guidance on legal, regulatory, and contractual risks, recommending solutions that appropriately balance risk management with business objectives.
- Apply and oversee compliance with data protection, privacy, and information security requirements in client and vendor relationships.
- Support the development and ongoing refinement of privacy and AI governance policies, standards, and training, including responsible use of AI across the organization.
Templates, playbooks, tools, and legal operations
- Own and continuously improve core contract templates, fallback positions, and clause libraries, with special attention to SaaS and government contracting nuances.
- Develop and maintain contracting playbooks that support consistent, scalable negotiation while allowing thoughtful, risk‑based flexibility and escalation.
- Partner with internal stakeholders to implement and refine Grant Street’s contract lifecycle management and AI‑enabled legal tools (e.g., for contract review, redlining, or knowledge management).
- Contribute to broader legal operations initiatives aimed at improving visibility, efficiency, and predictability (e.g., intake processes, KPIs, self‑service resources).
Collaboration, counseling, and training
- Partnering with our General Counsel to serve as a generalist in-house counsel providing support for all Company legal questions, with a focus on our commercial contracts.
- Provide practical guidance on employment issues in close partnership with HR.
- Support corporate governance and entity management, including policies, charters, board or committee materials, in collaboration with the General Counsel and finance/leadership teams.
- Assist with dispute resolution and pre-litigation strategy, including responding to demand letters, managing escalated customer/vendor issues, and coordinating outside counsel where appropriate.
- Contribute to legal support for strategic transactions (such as M&A or other significant partnerships), including diligence, contract review, and integration-related legal workstreams, in partnership with the General Counsel and business stakeholders.
Required experience and qualifications
- Juris Doctor (JD) from an ABA‑accredited law school.
- Active membership in good standing with at least one U.S. state bar.
- 4-7 years of post‑JD experience
- At least 3 years of in‑house experience strongly preferred
- Comfort handling a high volume of concurrent matters, prioritizing effectively, and moving work forward with limited oversight.
- Excellent written and verbal communication skills, including the ability to explain complex legal concepts clearly and to tailor messaging for senior stakeholders.
- High level of personal integrity, judgment, and discretion, with a track record of building trust across functions.
- Experience drafting and negotiating technology‑focused commercial agreements.
- Experience with data and privacy issues in contracts.
- Familiarity with legal AI tools and a demonstrated interest in building OpenClaw assistants (vibe coding, AI orchestration engineering).
You don’t need all of these, but experience in several of the following will be especially valuable:
- SaaS and GovTech:
- Prior work with state or local government customers, including understanding of public procurement, RFP processes, and common government contracting positions.
- Experience in FinTech, payments, or other highly regulated technology domains.
- Government contracting:
- Familiarity with government contract requirements (state/local and/or federal) and how they affect commercial terms, risk allocation, and compliance.
- Privacy and AI governance:
- Practical experience implementing or advising on privacy programs, data protection impact assessments, or similar frameworks.
- Exposure to AI governance (e.g., internal policies for AI use, vendor diligence, or risk assessments).
- Legal operations and tooling:
- Hands‑on experience with contract lifecycle management (CLM) systems, AI‑assisted contract review and management tools.
- Experience in legal operations such as designing legal processes, playbooks, or metrics to improve the consistency and scalability of a small legal team.
There is minimal travel: typically 1-2 weeks per year for on‑site meetings.
